1. Nature of Advisory Services
Varidation LLC is a technology advisory and brokerage firm based in Jupiter, Florida. We specialize in identifying, evaluating, and facilitating the procurement of third-party technology services, including:Communications: CCaaS, UCaaS, and Connectivity (Fiber/Broadband).Infrastructure: Cloud Solutions, Colocation, and SD-WAN.Protection & Support: Managed Security and Professional Services.Varidation LLC is an independent advisor, not a service provider. We provide recommendations based on client-provided data, but the ultimate selection and implementation of any technology solution rest solely with the Client.
2. Relationship with Third-Party Providers
If you choose to move forward with a solution recommended by Varidation LLC (e.g., via Verizon, AT&T, or other providers via our Master Agent, Avant), you will enter into a direct contract with that Service Provider.Liability: Varidation LLC is not responsible for service outages, billing disputes, installation delays, or technical failures caused by the Service Provider.Support: While we may provide high-level advocacy or project management via our Master Agent partners, all technical SLAs (Service Level Agreements) are governed by your contract with the Service Provider.
3. Commission and Referral Disclosure
Incentives: Varidation LLC typically receives commissions or residual payments from the Service Providers or Master Agents for successfully brokered deals.Referral Partners: We maintain relationships with referral partners. If you were referred to Varidation LLC, we may share a portion of the revenue generated from your contract with that partner as part of our standard business operations.
4. Confidentiality and Information Sharing
To provide accurate quotes, Varidation LLC collects business-sensitive information (e.g., employee counts, current spend, call center volume).We use industry-standard tools (Salesforce, ZoomInfo, Salesloft) to manage this data.We only share your data with Service Providers for the express purpose of obtaining quotes and registering deals (Deal Registration).
5. Limitation of LiabilityIn no event shall Varidation LLC be liable for any indirect, consequential, or incidental damages—including loss of profits or data—arising from the use of our recommendations or the performance of a third-party service. Our total liability is limited to the amount of any fees paid directly to Varidation LLC by the Client (if any) for the specific advisory engagement.
6. Intellectual PropertyThe "Varidation" name, logo, and any proprietary comparative analysis reports provided during the sales process are the intellectual property of Varidation LLC and may not be reused or redistributed for commercial purposes without our written consent.
7. Governing Law and VenueThese Terms and Conditions are governed by the laws of the State of Florida. Any legal action or proceeding relating to these terms shall be instituted in a state or federal court in Palm Beach County, Florida.
